ReadyFill Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the ReadyFill application ("the App"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App.

1. Account Eligibility

To use ReadyFill, you must:

• Be at least 18 years of age
• Be using the App for legitimate commercial or trade purposes
• Provide accurate, complete, and up-to-date information when creating your account
• Maintain only one active account per person or business entity

ReadyFill reserves the right to refuse access, suspend, restrict, or terminate any account that does not meet these requirements.

2. User Responsibility

All data and information entered into the ReadyFill App is the sole responsibility of the user. Users are expected to provide accurate, truthful, and up-to-date information regarding materials, equipment, fill, tip sites, availability, locations, pricing, and all other relevant details.

ReadyFill does not verify or guarantee the accuracy, quality, legality, reliability, suitability, or completeness of user-submitted content. Use of the platform and reliance on information provided by other users is entirely at your own risk.

Users are solely responsible for conducting their own due diligence before entering into any arrangement, transaction, agreement, transport activity, hire arrangement, disposal activity, or commercial interaction arising from use of the App.

3. Legal Compliance

Users are solely responsible for ensuring compliance with all applicable local, state, and federal laws and regulations related to the transport, movement, disposal, supply, or hire of fill, materials, equipment, and any other resources listed on the App.

ReadyFill accepts no liability for any legal infractions, fines, penalties, prosecutions, damages, or consequences resulting from non-compliance with such laws. Users must be aware of and act in accordance with all environmental, safety, workplace, transport, biosecurity, waste, and operational regulations when engaging in any activity based on app matches or connections.

Biosecurity and Contamination Compliance

Important: ReadyFill does not assess, verify, monitor, certify, approve, or guarantee the biosecurity status, contamination risk, environmental classification, legality, or regulatory approval of any fill, material, equipment, site, or location listed on the App.

Users are solely responsible for ensuring compliance with all biosecurity and contamination requirements, including but not limited to fire ant movement controls, restricted zones, permits, inspections, environmental approvals, contamination classifications, treatment requirements, and transportation obligations imposed by relevant authorities.

ReadyFill does not track, approve, oversee, supervise, or certify any arrangements made between users, including the transport, disposal, movement, supply, or use of materials or equipment. Any such activity is conducted entirely at the user's own discretion and risk.

4. Liability and Accountability

ReadyFill is a platform that connects users seeking or offering materials, fill, tip sites, labour, services, and equipment. The company:

• Is not responsible for any loss, damage, dispute, delay, injury, contamination issue, environmental issue, or other consequence arising from false, misleading, incomplete, or inaccurate information submitted by users
• Takes no accountability for the outcomes of interactions or agreements made between users
• Will not be held liable for any misconduct, illegal actions, unsafe conduct, environmental breaches, or misuse of the platform by users
• Does not guarantee the availability, condition, legality, suitability, pricing, quality, or reliability of any material, equipment, labour, service, or listing on the App
• Is not a party to any transaction, hire agreement, transport arrangement, disposal arrangement, subcontracting arrangement, or commercial agreement made between users

In the event of misconduct (including but not limited to fraud, harassment, illegal dumping, contamination breaches, deceptive conduct, unauthorised use, or misrepresentation), the responsible user will be held fully accountable.

ReadyFill may assist, where reasonably appropriate, in addressing such issues, including cooperating with authorities, restricting platform access, preserving evidence, or removing user access if necessary.

5. User Conduct and Platform Integrity

By using ReadyFill, you agree to:

• Not use the App for illegal, unsafe, fraudulent, deceptive, anti-competitive, or misleading purposes
• Not impersonate other individuals, companies, or organisations
• Respect other users and communicate professionally at all times
• Use the App only for legitimate commercial, trade, or project-related purposes
• Not post listings for materials, equipment, services, or opportunities you do not have the lawful right to provide, supply, sell, advertise, or facilitate
• Not attempt to circumvent, interfere with, disrupt, damage, reverse engineer, exploit, or compromise the App, its infrastructure, systems, matching logic, operational functionality, marketplace processes, or security measures
• Not engage in spam, unsolicited advertising, scraping, automated data collection, or harassment of other users
• Not use automated systems, bots, crawlers, scripts, data-mining tools, or similar technologies to access, monitor, extract, copy, harvest, aggregate, or analyse platform data or user information
• Not access or use the App for the purpose of obtaining competitive intelligence, market analysis, operational insights, supplier information, customer information, pricing information, marketplace behaviour, or other commercially sensitive data for use outside the platform or for the benefit of another business, marketplace, platform, brokerage, competing service, or third party
• Not use information obtained through ReadyFill to directly or indirectly solicit, divert, bypass, or circumvent users, suppliers, customers, contractors, or businesses outside the intended operation of the platform
• Not create accounts or access the platform under false pretences, misleading identities, associated entities, or for non-genuine marketplace participation
• Not use the platform in a manner that undermines, exploits, interferes with, or commercially disadvantages the integrity, operation, users, or intended purpose of ReadyFill

ReadyFill reserves the right to monitor platform activity for misuse, suspicious behaviour, unauthorised commercial activity, automated access attempts, excessive data collection behaviour, or conduct inconsistent with these Terms.

Where ReadyFill reasonably believes a user, business, or organisation is accessing or using the platform for unauthorised commercial, exploitative, competitive, intelligence-gathering, non-genuine, or marketplace-circumvention purposes, ReadyFill may suspend, restrict, terminate, or permanently prohibit access immediately and take any further action reasonably necessary to protect the platform, its users, operational integrity, proprietary systems, marketplace functionality, and commercial interests.

Any unauthorised access, misuse, scraping, harvesting, exploitation, circumvention, competitive intelligence gathering, or commercial misuse of the ReadyFill platform, marketplace data, operational information, systems, or user information may cause substantial commercial, operational, reputational, and financial harm to ReadyFill and its users.

ReadyFill reserves all rights to investigate suspected misuse of the platform and to pursue any remedies available at law or in equity, including but not limited to suspension or termination of access, injunctive relief, recovery of damages, recovery of financial losses, enforcement costs, and any other action reasonably necessary to protect the integrity, operation, users, commercial interests, proprietary systems, and marketplace functionality of the platform.

6. Matching and Notifications

ReadyFill facilitates automated matching based on user-provided criteria such as material type, equipment type, location, availability, operational activity, and other platform variables.

However:

• No guarantees are made regarding the availability, quality, accuracy, suitability, legality, responsiveness, or results of any match
• Users must conduct their own due diligence and confirm suitability before acting on any matched opportunity
• ReadyFill is not responsible for missed matches, incorrect matches, delays, ranking outcomes, visibility outcomes, or the result of any connection made through the platform

Platform visibility, ranking, matching, and operational exposure may be influenced by activity levels, responsiveness, availability, operational engagement, listing quality, platform participation, and other internal platform logic determined by ReadyFill.

7. Intellectual Property and Platform Data

All content, trademarks, branding, logos, software, systems, operational logic, marketplace structure, matching systems, ranking systems, workflows, databases, platform functionality, and related intellectual property associated with ReadyFill are the intellectual property of ReadyFill and may not be copied, reproduced, distributed, reverse engineered, commercially exploited, replicated, or otherwise used without prior written consent.

The structure, organisation, compilation, presentation, operational behaviour, marketplace data, activity data, platform-generated information, operational insights, and marketplace interactions associated with ReadyFill constitute proprietary commercial assets of ReadyFill.

Users must not copy, extract, scrape, reproduce, aggregate, republish, commercialise, analyse, monitor, export, or use platform data, marketplace information, operational insights, user-generated marketplace activity, or system behaviour for external commercial purposes or for the development, operation, support, enhancement, or marketing of competing products or services.

By submitting content to the App (including listing descriptions, pricing, photos, materials, equipment information, availability information, operational information, and other related content), you grant ReadyFill a non-exclusive, royalty-free licence to host, display, distribute, reproduce, and use that content solely for the purpose of operating, improving, marketing, facilitating, and maintaining the ReadyFill platform and related services.

You retain ownership of your content and may remove it by deleting your listing or account, subject to any legal, operational, evidentiary, or regulatory retention requirements.

You confirm that any content you submit does not infringe the intellectual property rights, confidentiality obligations, contractual rights, or proprietary rights of any third party.

8. Data Privacy

By using ReadyFill, you consent to the collection and use of your data in accordance with our Privacy Policy.

We do not sell, trade, or share personal information with third parties for commercial gain.

ReadyFill may collect and analyse platform usage data, marketplace activity, operational interactions, behavioural data, and system activity for the purposes of maintaining platform integrity, improving services, detecting misuse, monitoring operational performance, preventing unauthorised access, and protecting the legitimate commercial interests of the platform and its users.

Our Privacy Policy is available within the App and on our website. It forms part of these Terms and should be read alongside them.

9. Marketplace Data and Commercial Use Restrictions

ReadyFill operates as a proprietary commercial marketplace and operational platform. Access to the platform does not grant any user ownership, entitlement, unrestricted access rights, or unrestricted commercial usage rights in relation to marketplace information, operational activity, user behaviour, supplier information, customer information, listings, pricing behaviour, matching activity, operational systems, or other platform-generated data.

Users may access and use information made available through the App solely for legitimate participation within the intended operation of the ReadyFill platform.

Without limitation, users must not:

• Collect, aggregate, export, compile, monitor, analyse, or reproduce marketplace information for external databases, directories, marketing systems, lead-generation systems, analytics systems, commercial intelligence purposes, or competing commercial operations
• Use the platform to identify, target, profile, monitor, analyse, or commercially engage users, suppliers, contractors, customers, or competitors outside the intended operation of the App
• Reproduce, republish, distribute, exploit, or externally use marketplace listings, operational information, availability data, supplier information, customer information, or user-generated content outside the platform without written permission
• Use information obtained through ReadyFill to operate, support, improve, market, assist, or develop competing businesses, services, marketplaces, brokerages, exchanges, lead-generation systems, or commercial operations
• Circumvent the platform for the purpose of avoiding platform participation, marketplace processes, commercial arrangements, operational workflows, or commercial relationships facilitated through ReadyFill
• Access the platform in a manner reasonably considered excessive, exploitative, automated, commercially inappropriate, or inconsistent with legitimate marketplace participation

ReadyFill reserves the right to investigate suspicious access patterns, unusual account activity, excessive data access behaviour, repeated monitoring behaviour, suspicious marketplace activity, or conduct reasonably believed to involve misuse of marketplace information or platform exploitation.

ReadyFill may implement technical, operational, behavioural, or access restrictions where reasonably necessary to protect platform integrity, marketplace functionality, user interests, operational systems, proprietary information, commercial operations, or the legitimate interests of ReadyFill and its users.

Users acknowledge that the ReadyFill marketplace, operational systems, activity structures, ranking systems, matching systems, marketplace interactions, and platform-generated data constitute valuable proprietary commercial assets of ReadyFill.

Any unauthorised commercial exploitation, extraction, misuse, replication, monitoring, analysis, or external use of such information may result in significant commercial, operational, and financial harm to ReadyFill.

Users agree that ReadyFill may seek injunctive relief, equitable remedies, compensation, recovery of losses, recovery of financial damages, enforcement costs, account restriction, suspension, termination, and any other remedies available under applicable law in relation to any breach of these Terms or misuse of the platform, whether such misuse is conducted directly or indirectly.

10. Termination of Use

ReadyFill reserves the right to suspend, restrict, terminate, or permanently prohibit access to the App for any user found to be in breach of these Terms, with or without notice.

This includes but is not limited to:

• Providing false or misleading information
• Engaging in illegal activity through or in connection with the App
• Harassing, exploiting, or abusing other users
• Misusing or attempting to exploit the platform
• Engaging in scraping, data harvesting, non-genuine participation, competitive intelligence gathering, or unauthorised commercial activity
• Attempting to circumvent the intended operation of the platform

Users who have had their access terminated may not create a new account without prior written approval from ReadyFill.

11. Governing Law

These Terms are governed by the laws of relevant state or territory laws, Australia.

Any dispute arising from or relating to these Terms or your use of the App will be subject to the exclusive jurisdiction of local and state municipalities.

Nothing in these Terms limits any rights you may have under the Australian Consumer Law.

12. Changes to these Terms

These Terms may be updated from time to time.

When material changes are made, we will notify users via the App, website, or email. The updated Terms will show the revised date at the top of this document.

Continued use of the App after updated Terms are posted constitutes acceptance of the revised Terms.
